Terms of Use

e-File Transfer iOS application and eFile Transfer web application will be referred to as eFile in the following sections.

By downloading the eFile application and updates from the Apple App Store or by opening the application from your device's browser (as permitted by this license agreement), you are indicating that you are bound by and accepting all the terms and conditions of this agreement.
The parties to this license agreement agree that Apple is not a party to this license agreement and is not bound by any terms or obligations regarding the application, such as warranty, liability, maintenance and support. Only eFile is responsible for the licensed application and its content. Apple is not responsible. This license agreement may not provide usage rules for the app that conflicts with the latest App Store service and terms. eFile acknowledges that it has the opportunity to review such terms and that this license agreement does not conflict with them. All rights not expressly granted to you are reserved.

1. App

After creating an account for free in the eFile application, log in to other devices quickly and reliably with a qrcode. Transfer photos, videos, text or other files between devices easily and quickly with eFile. You can create a free account for the eFile application and use eFile for free.

After creating a free account, you can use the following features for free:

• You can create up to 2 folders.
• You are given a daily limit of 10 files. You cannot upload more than 10 files. This limit is renewed every day and resets at the beginning of the next day.
• A total of 50 MB of cloud storage is defined.
• You will be given a 10 MB limit for each file you will upload.
• The file you upload is stored for 7 days. If you do not switch to a premium account on the 8th day, the file you upload will be permanently deleted.
• A limit of 10 qrcode reading per day is defined. This limit is renewed every day and resets at the beginning of the next day.
• A link creation limit is defined for sharing up to 10 times a day. This limit is renewed every day and resets at the beginning of the next day.
• You can select 10 photos or videos at the same time while uploading photos and videos.
• The ad is shown.

If you switch to premium subscription, you will have the following features:

• Create unlimited folders.
• Upload unlimited files.
• A total of 10 GB of cloud storage is defined.
• You will be given a 1 GB limit for each file you will upload.
• Your files are not deleted.
• Scan unlimited qrcodes.
• Link for unlimited sharing.
• You can select 20 photos or videos at the same time while uploading photos and videos.
• No ads are shown.

The features common to the free account and premium subscription are:

• To maintain the efficiency of our application, we have set a download limit of 5 GB per day. When the total size of the files you download and the files you view exceeds 5 GB, your download will be stopped until the end of the day. At the start of the next day, this 5 GB limit is reset. Even if you share the folder, the other party's download size is included in this 5GB.

About premium subscription:
When you switch to a premium subscription, you will pay a monthly fee of $2.49.
Payment is renewed every month unless you cancel. Your subscription will be charged to your iTunes account at confirmation of purchase and will automatically renew (for the selected period) unless auto-renew is turned off at least 24 hours before the end of the current period. The current subscription cannot be canceled during the active subscription period; however, you can manage your subscription and/or turn off auto-renewal by visiting your iTunes Account Settings after purchase.

2. Scope of License

2.1 This license will also govern any updates of the application provided by licensor that replace, repair, and/or supplement the first application, unless a separate license is provided or such update in which case terms of that new license will govern.
2.2 You may not share or make the application available to third parties (unless to the degree allowed by the Apple terms and conditions, and with eFile’s prior written consent), sell, rent, lend, lease or otherwise redistribute the application.
2.3 You may not reverse engineer, translate, disassemble, integrate, decompile, integrate, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the application, or any part thereof (except with eFile’s prior written consent).
2.4 You may not copy (excluding when expressly authorized by this license and the usage rules) or alter the application or portions thereof. You may create and store copies only on devices that you own or control for backup keeping under the terms of this license, the App Store terms of service, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorized third parties may gain access to these copies at any time.
2.5 Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.
2.6 Licensor reserves the right to modify the terms and conditions of licensing.
2.7 Nothing in this license should be interpreted to restrict third-party terms. When using the application, You must ensure that you comply with applicable third-party terms and conditions.
2.8 All information regarding the above license scope is valid within the eFile website.

3. Technical Requirements

3.1 The eFile iOS app requires a firmware version of iOS 12.0 or higher. eFile recommends using the latest version of the firmware. The eFile website uses JavaScript and stops working in a situation that would interfere with JS.
3.2 The eFile website recommends that you do not use old and low-hardware devices for the application to work efficiently.
3.3 Licensor attempts to keep the application updated so that it complies with modified/new versions of the firmware and new hardware. You are not granted rights to claim such an update.
3.4 You acknowledge that it is your responsibility to confirm and determine that the app end-user device on which you intend to use the application satisfies the technical specifications mentioned above.
3.5 Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.

Maintenance and Support

4.1 The Licensor is solely responsible for providing any maintenance and support services for this licensed application. You can reach the licensor at the email address listed in the App Store overview for this licensed application.
4.2 eFile and the end-user acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the licensed application.

Use of Data

You acknowledge that licensor will be able to access and adjust your downloaded licensed application content and your personal information, and that licensor's use of such material and information is subject to your legal agreements with licensor and licensor's Privacy Policy

Contribution License

By posting your contributions to any part of the application or making contributions accessible to the application by linking your account from the application to any of your social networking accounts, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use copy, reproduce, disclose, sell, resell, publish, broad cast, retitle, archive, store, cache, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such contributions (including, without limitation, your image and voice) for any purpose, commercial advertising, or otherwise, and to prepare derivative works of, or incorporate in other works, such as contributions, and grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels.

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your contributions, and you warrant that moral rights have not otherwise been asserted in your contributions.

We do not assert any ownership over your contributions. You retain full ownership of all of your contributions and any intellectual property rights or other proprietary rights associated with your contributions. We are not liable for any statements or representations in your contributions provided by you in any area in the application. You are solely responsible for your contributions to the application and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any contributions; (2) to re-categorize any contributions to place them in more appropriate locations in the application; and (3) to pre-screen or delete any contributions at any time and for any reason, without notice. We have no obligation to monitor your contributions.

Liability

7.1 Licensor takes no accountability or responsibility for any damages caused due to a breach of duties according to section 2 of this agreement. To avoid data loss, you are required to make use of backup functions of the application to the extent allowed by applicable third-party terms and conditions of use. You are aware that in case of alterations or manipulations of the application, you will not have access to the licensed application.

Warranty

8.1 Licensor warrants that the application is free of spyware, trojan horses, viruses, or any other malware at the time of your download. Licensor warrants that the application works as described in the user documentation.
8.2 No warranty is provided for the application that is not executable on the device, that has been unauthorizedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, used with inappropriate accessories, regardless if by yourself or by third parties, or if there are any other reasons outside of eFile's sphere of influence that affect the executability of the application.
8.3 You are required to inspect the application immediately after installing it and notify eFile about issues discovered without delay by email provided in product claims. The defect report will be taken into consideration and further investigated if it has been mailed within a period of three (3) days after discovery.
8.4  If we confirm that the Application is defective, eFile reserves a choice to remedy the situation either by means of solving the defect or substitute delivery.
8.5  In the event of any failure of the application to conform to any applicable warranty, you may notify the App-Store-Operator, and your application purchase price will be refunded to you. To the maximum extent permitted by applicable law, the App-Store-Operator will have no other warranty obligation whatsoever with respect to the App, and any other losses, claims, damages, liabilities, expenses and costs attributable to any negligence to adhere to any warranty.
8.6 If the user is an entrepreneur, any claim based on faults expires after a statutory period of limitation amounting to twelve (12) months after the application was made available to the user. The statutory periods of limitation given by law apply for users who are consumers.

Termination

The license is valid until terminated by eFile or by you. Your rights under this license will terminate automatically and without notice from eFile if you fail to adhere to any term(s) of this license. Upon license termination, you shall stop all use of the application, and destroy all copies, full or partial, of the application.

Third-Party Terms of Agreements and Beneficiary

eFile represents and warrants that eFile will comply with applicable third-party terms of agreement when using licensed application. In accordance with section 8 of the "Instructions for Minimum Terms of Developer's End-User License Agreement," Apple and Apple's subsidiaries shall be third-party beneficiaries of this end user license agreement and - upon your acceptance of the terms and conditions of this license agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this end user license agreement against you as a third-party beneficiary thereof.

Acceptance of These Terms

You confirm that you have read this agreement and accept all terms and conditions. By accessing and using mobile application, website and services, you agree to be bound by this agreement. If you do not agree to comply with the terms of this agreement, you are not authorized to access or use the mobile application, website and services.

Account and Membership

You must be at least 13 years old to use mobile application, website and services. By using the mobile application, website and services and by accepting this agreement, you warrant and declare that you are at least 13 years old. But if you are under the age of 13 and want to use the app, you need to get your parents' permission. If you create an account in the mobile application, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection therewith. We may monitor and review new accounts before you sign in and start using the services, but we are not obligated to do so. Providing any wrong contact information may result in termination of your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any act or omission on your part, including any damages incurred as a result of such acts or omissions. We may suspend, disable or delete your account (or any part of it) if we determine that you have violated any provision of this agreement or that your behavior or content is likely to harm our reputation and goodwill. If we delete your account for the above reasons, you will not be able to re-register for our services. We may block your email address and internet protocol address to prevent further registration. You cannot re-register for our services.

Prohibited Uses

In addition to other terms specified in the contract, you are prohibited from using the mobile application, website and services or content for:

a. For any illegal purpose;
b. Encourage others to commit or participate in any illegal act;
c. Violate any international, federal, state or state ordinances, rules, laws or local regulations;
d. Infringe or violate our intellectual property rights or the intellectual property rights of others;
e. Harass, abuse, insult, harm, defame, slander, humiliate, intimidate or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin or disability;
f. Providing false or misleading information; <
g. Upload or transmit viruses or any other malicious code that may affect or be used to affect the functionality or operation of mobile applications and services, third-party products and services, or the internet;
h. Spam, phishing, pharm, pretext, spider, crawl or scrape;
i. For any obscene or indecent purpose;
k. Interfering with or bypassing security features of mobile applications and services, third-party products and services, or the internet. We reserve the right to terminate your use of mobile applications and services for violating any of the prohibited uses.

Intellectual Property Rights

"Intellectual Property Rights" means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This agreement does not transfer to you any intellectual property owned by the operator or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with the operator. All trademarks, service marks, graphics and logos used in connection with the mobile application, web site and services, are trademarks or registered trademarks of the operator or its licensors. Other trademarks, service marks, graphics and logos used in connection with the mobile application, web site and services, may be the trademarks of other third parties. Your use of the mobile application, web site and services, grants you no right or license to reproduce or otherwise use any of the operator or third party trademarks.
